Terms of Service

These Terms govern your use of the PharmOS website and the PharmOS pharmacy management software (the “Service”), operated by Smart Desizns. By using the Service, you agree to these Terms.

1. Account

• You must be 18+ and legally able to enter contracts.
• You are responsible for keeping your password and account secure.
• Notify us immediately of any unauthorised access.
• You accept responsibility for all activity under your account.

2. Subscription and licence

We grant you a non-exclusive, non-transferable, revocable licence to use the Service for the duration of your active subscription, limited to the tier and number of users you have purchased. Tiers: Lite, Pro, Multi-Branch. Reselling or sub-licensing the Service is not permitted.

3. Payment and renewal

All plans are billed annually in advance. Prices are listed on our pricing page in INR, exclusive of 18% GST. Payment processing is handled by Razorpay. Subscriptions auto-renew unless cancelled. We may increase prices on renewal with at least 60 days notice. Failed payments are retried over 7 days; if unresolved, access may be suspended.

4. Refund policy

• 7-day refund window — full refund if you request within 7 days of initial purchase.
• After 7 days — no refund except for unresolved technical issues attributable to the Service.
• Mid-year upgrade — pro-rata difference for remaining months; renewal date stays the same.
• Cancellation stops auto-renewal at the next billing cycle. No refund of pre-paid amounts.

5. Acceptable use

• No unlawful purpose.
• No attempts to gain unauthorised access to other tenants' data.
• No reverse-engineering, decompiling, or extraction of source code.
• No spam or unsolicited communications.
• No infringement of third-party intellectual property.

6. Data ownership and processing

All operational data you create — inventory, transactions, ledger, reports — is owned by you. For DPDP purposes you are the Data Fiduciary and we act as the Data Processor. You can export at any time. After cancellation, your data remains available for export for 90 days, then is permanently deleted (except for billing/tax records retained per law).

7. Uptime and service levels

• Lite — best-effort, no SLA. We target 99% monthly uptime.
• Pro — 99% monthly uptime guarantee with service-credit structure.
• Multi-Branch — 99.5% monthly uptime guarantee.

SLA does not apply to force majeure, customer-side issues, scheduled maintenance announced in advance, or suspension due to non-payment.

8. Support

• Lite — email, one business day response.
• Pro — email + chat, four business hour response.
• Multi-Branch — email + chat + phone, two business hour response, dedicated success manager.

9. Intellectual property

The Service is owned by Smart Desizns and protected by Indian and international IP laws. You retain all rights to data you create using the Service. If you provide feedback, you grant us a perpetual, royalty-free licence to use it.

10. Limitation of liability

To the maximum extent permitted by law, our total liability under these Terms is capped at the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your use of the Service in violation of these Terms, your violation of applicable law, or your operational data infringing third-party rights.

12. Termination

You may cancel anytime. We may terminate your account with notice for non-payment, terms violation, or fraudulent/illegal activity. On termination, you have 90 days to export your data.

13. Governing law and dispute resolution

These Terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts in Delhi, India.

14. Changes to these Terms

Material changes will be notified via email at least 30 days in advance. Continued use after the effective date constitutes acceptance.

15. Miscellaneous

• Entire agreement — these Terms with our Privacy Policy.
• Severability — if any provision is unenforceable, the remainder stays in force.
• No waiver — failure to enforce a provision is not a waiver.
• Assignment — you may not assign without our consent.
